《劳动合同法》第97条第三款规定：本法施行之日存续的劳动合同在本法施行后解除或者终止，依照本法第四十六条规定应当支付经济补偿的，经济补偿年限自本法施行之日起计算；本法施行前按照当时有关规定，用人单位应当向劳动者支付经济补偿的，按照当时有关规定执行。如何理解该款的规定呢？举例说明如下：
小李于2**年7月1日入职某公司，劳动合同每年一签，2**年7月1日，公司与小王又签订了一年期限的劳动合同，2**年6月3日，劳动合同期满，公司决定不再续订劳动合同,假设小李每月工资都为2**元。
问题一：2**年6月3日合同正常终止，公司如何支付经济补偿？
答：固定期限劳动合同终止需支付经济补偿是劳动合同法的最新规定，根据法不溯及既往原则，2**年1月1日之前的工作年限不适用该规定，按照之前的规定，合同终止用人单位可不支付经济补偿金，因此，小李2**年7月1日至2**年12月31日之间的工作年限用人单位不予支付经济补偿金。小李的劳动合同于2**年6月3日期满终止，年限正好6个月，因此根据劳动合同法的规定，用人单位需支付一个月工资2**元作为经济补偿。补偿基数按照小王2**年7月1日至2**年6月3日12个月的月*均工资计算。即劳动合同正常终止时，小李仅能获得万元的经济补偿。
问题二、如果2**年4月3日公司提前解除劳动合同但不违法，该如何支付经济补偿？
答：公司提前解除劳动合同的（但不违法），按照新法和旧法都应当支付经济补偿，所以，本案中公司提前解除劳动合同的，公司应当按照小李2**年7月1日至2**年12月31日的工作年限（正好年）支付解除劳动合同的经济补偿金为6个月×月工资2**元（2**年4月3日前12个月月*均工资）万元。2**年1月1日至2**年4月3日的工作年限不到半年，支付解除劳动合同的经济补偿金为个月×月工资2**元（2**年4月3日前12个月月*均工资）万元。即劳动合同被公司提前解除时，小李能获得万元的经济补偿。
问题三、如果2**年3月3日公司违法提前解除劳动合同，该如何计算经济补偿和赔偿金？
对于公司违法提前解除合同的，如果劳动者要求继续履行劳动合同的，用人单位应当继续履行；劳动者不要求继续履行劳动合同或者劳动合同已经不能继续履行的，用人单位应当依照本法第八十七条规定支付赔偿金，即用人单位应当依据经济补偿标准的二倍向劳动者支

四、质量保证风险提示：质量标准

在供方为外商的情况下，更应该明确约定质量标准，因为我国国家的强制性标准（如果有）仅约束国内企业，对外商并无直接约束力。在这种情况写上适用国家强制性标准，将无法确定是哪个国家的标准，从而导致此约定不明，等于没有约定。
1、乙方所提供的货物必须完全符合甲方规定的质量、规格和性能的要求。如非甲方指定人员要求，不得擅自更改。
2、乙方需保证所提供的货物在正确安装、正常使用和保养条件下，在其使用寿命内具有良好的性能。
五、交货和验收风险提示：验收标准
验收标准约定不明时，极易发生产品质量纠纷。
应在验收条款中详细列明货物的验收标准、验收手续及过程，还可选择约定验收结果的最终确认权人。同时还应详细列明货物不符合约定条件时的处理方式、及以处理过程的沟XX与衔接。
1、乙方应按照甲方规定的时间和方式向甲方交付货物。
2、乙方交付的货物应当完全符合甲方规定的货物、数量和规格要求。
六、售后服务乙方应按照国家有关法律法规规章和三包规定以及合同所附的服务承诺提供服务。
七、货款支付风险提示：价款及支付方式
采购合同的主要义务是一方给物，一方给钱。因此，价款是采购合同的最为重要的内容之一。采购单一货物，价格固定，价款比较清楚，一般不会产生争议。如果采购多种货物或进行长时间的货物买卖，价款较为复杂，一旦约定不明，则极易产生争议。因此，合同中应明确产品单价、计量标准、数量、产品附件等，对于涉外合同，还应当明确货币种类及外汇结算标准，防止出现分歧。
另外，支付方式也应当约定明确，价款支付是现金支付，还是用支票支付；如果采用汇款，汇费由谁负担等细节应当明确。 付款方式：每月____日对帐完毕后，交对账单、发票给甲方。送货款项每月____日前结算上月货款，最迟_______天内结清货款。甲方以转账方式将货款付给乙方指定的收款员或转入指定的账户，不得将货款交给其他人员。
八、违约责任风险提示：违约责任
采购合同里的违约责任作为双方无法履行合同时的赔偿方案，最主要的就是违约责任必须清楚，可操作性强。
违约责任里面最怕的就是写上一句;如果没有在合同规定的时间里送货，所有责任由对方承担;这样虽然规定了违约责任，但是没有一个具体可行的方案，万一以后合同出事，还得找很多的证据证明自己的损失，操作性太差。
1、甲方无正当理由不得拒收货物、拒付货物款。
2、如乙方不能按时交付货物，造成甲方损失的，乙方须向甲方支付损失的费用。
3、乙方所交付的货物品种、型号、规格不符合甲方规定的，甲方有权拒收。若被查出所供货物是假冒伪劣产品的，乙方除无条件退货或换货外，甲方将视情节轻重扣除本批次货物的价格款。
4、在乙方承诺的或国家规定的质量保证期内，如经乙方两次维修或更换，货物仍不能达到约定的质量标准，甲方有权退货，同时，乙方还须赔偿甲方因此遭受的损失。
九、争议的解决
1、因货物的质量问题发生争议的，应当邀请国家认可的质量检测机构对货物质量进行鉴定。货物符合标准的，鉴定费由甲方承担；货物不符合质量标准的，鉴定费由乙方承担。
2、在合同的执行期限内，乙方不得自行提价。甲方如在其他处获知的货物价格低于乙方报价单价格_______%以上的甲方有权按最低价格结算。
